Article I- Name The name of this organization is the Patriot Booster Club. The Patriot Booster Club is a non-profit organization to support Patrick Henry High School student activity groups by involving parents, school, and community members. Article II - Membership Members are any adult who is not a high school student and supports the mission of the Patriot Booster Club by attending meetings, participating on committees, helping at events, or voting on recommendations presented by the Board of Directors. Registered Members - Pay dues or volunteer by attending three Booster Club activities to have the right to vote and request money for student groups. Paid dues are valid for one year fiscal year (July 1-June 30) and may be paid at any time. The Board of Directors may approve members for registration in lieu of paying dues with a majority vote. Non-registered Members - Anyone who is interested in advancing the mission of the Patriot Booster Club, but does not have the right to vote or request funding. Article III - Membership Meetings Anyone who is interested in advancing the mission of the Patriot Booster Club mission statement may attend meetings of the Patriot Booster Club. General membership meetings will be held monthly from August through June at Patrick Henry High School or such other places as designated by the Board of Directors. Special meetings may be called by the President or by any majority vote of the Board of Directors. Board of Directors’ meetings will be held at minimum of once per month and as needed. Article IV - Board of Directors The Board of Directors is elected from and by registered members. Positions are President, Vice-President, Treasurer, and Secretary and at large positions as appointed by the Board of Directors. Any vacancy on the Board of Directors will be filled by appointment of the President for the remainder of the term of office. The appointment must have the approval of a majority of the Board of Directors. Article V - Duties of the Board of Directors The President:
Article VI - Election of Board of Directors The Board of Directors will be elected from registered members at the May general membership meeting. Registered members are elected to one-year terms, limited to no more than three consecutive terms. Article VII - Rules The Patriot Booster Club is governed by the rules contained in the current edition of Robert’s Rules of Order-Newly Revised, unless they contradict these bylaws or other special rules of order adopted by this organization. Decisions will be made by majority vote of the registered members present, by proxy, or email, as allowed by the majority of the Board of Directors. Three registered members are required to make a quorum. Article VIII - By-Law Amendments By-Laws may be amended by majority vote of registered members present at any meeting called to make bylaw amendments. Proposed amendments must be submitted in writing at a membership meeting at least one month prior to the meeting at which the vote will be taken, stating the date of the meeting at which the voting will occur. An annual review of bylaws will be held at the June general membership meeting. Article IX - Fiscal year The fiscal year begins July 1 and ends June 30. Article X - Dissolution A request for dissolution must be submitted in writing by a registered member to the Board of Directors at least one month prior to the May meeting. The Board of Directors must notify members of the dissolution request. Dissolution is granted with a two-thirds majority vote in favor of dissolution of the registered members present at the May meeting. Article XI - Distribution of Funds Upon Dissolution Upon the dissolution, the Patriot Booster Club will give any remaining monies or assets to the Principal of Patrick Henry High School to be deposited into the general activity fund of Patrick Henry High School, a tax exempt organization. Article XII - Approval of By-Laws These Bylaws were approved by the Board of Directors, adopted and effective July 12, 2016. Adoption is recorded in the official minutes. |
